1. Acceptance of Terms

Welcome to Garioxtech Private Limited. By accessing or using our website, services, or any products offered by Garioxtech Private Limited (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you (the “User” or “Client”) and Garioxtech Private Limited (“Company,” “we,” “us,” or “our”). We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on our website. Your continued use of the Services after any changes indicates your acceptance of the modified Terms.

2. Description of Services

Garioxtech Private Limited is a technology solutions provider specializing in comprehensive IT services. Our Services include, but are not limited to:

• IT Consulting and Solutions: Strategic technology consulting, infrastructure planning, and digital transformation services
• Software Development: Custom software applications, web development, and mobile application development
• Software Integration: Third-party software integration, API development, and system interoperability solutions
• Technology Services: Cloud computing solutions, cybersecurity services, managed IT services, and technical support
• Maintenance and Support: Ongoing technical support, system maintenance, and software updates

The specific scope of Services provided to each Client will be detailed in separate service agreements, proposals, or statements of work.

3. User Responsibilities and Prohibited Activities

3.1 User Responsibilities

• Provide accurate, current, and complete information when registering or engaging our Services
• Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access
• Comply with all applicable local, state, national, and international laws and regulations
• Use the Services only for lawful purposes and in accordance with these Terms
• Respect the intellectual property rights of Garioxtech and third parties
• Cooperate with our team and provide necessary information required for service delivery

3.2 Prohibited Activities

• Using the Services for any unlawful, fraudulent, or malicious purpose
• Attempting to gain unauthorized access to our systems, networks, or other users’ accounts
• Distributing viruses, malware, or any other harmful code through our Services
• Engaging in any activity that disrupts or interferes with the Services or servers
• Reverse engineering, decompiling, or disassembling any software provided by Garioxtech
• Reselling, redistributing, or sublicensing our Services without prior written consent
• Using automated systems or bots to access the Services without authorization
• Impersonating any person or entity or misrepresenting your affiliation
• Collecting or harvesting any information from the Services for unauthorized purposes

4. Intellectual Property Rights

All content, materials, software, code, designs, graphics, logos, trademarks, and other intellectual property associated with the Services (collectively, “Company IP”) are owned by or licensed to Garioxtech Private Limited and are protected by Indian and international laws.

4.1 Company Ownership

Unless otherwise specified, all deliverables, software, documentation, and work products created by Garioxtech remain the exclusive property of Garioxtech until full payment is received.

4.2 License Grant

Upon receipt of full payment, Garioxtech grants the Client a non-exclusive, non-transferable license to use the deliverables solely for the Client’s internal business purposes.

4.3 Client Content

Clients retain rights to their proprietary data, content, and materials provided to Garioxtech. By providing Client Content, you grant Garioxtech a limited license to use such content solely to deliver Services.

4.4 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services or software, nor reverse engineer it, unless authorized by Garioxtech in writing.

5. Payment, Billing, and Refund Policy

5.1 Payment Terms

All fees for Services are specified in the applicable service agreement. Standard terms are net 30 days from invoice unless otherwise agreed.

5.2 Billing

Invoices are issued as per the agreed schedule. All payments should be made to:

5.3 Late Payment

Late payments may incur 1.5% monthly interest. Services may be suspended for overdue accounts.

5.4 Taxes

All fees are exclusive of taxes (GST, etc.). The Client is responsible for applicable taxes unless exempt.

5.5 Refund Policy

• Services already rendered are non-refundable.
• Advance payments may be partially refunded if Services haven’t begun (subject to admin fees).
• Refund requests must be made within 7 days of dispute.
• Approved refunds processed within 30 business days.

6. Limitation of Liability and Warranty Disclaimer

6.1 Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. GARIOXTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

6.2 Limitation of Liability

IN NO EVENT SHALL GARIOXTECH BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED ₹100,000 OR THE AMOUNT PAID IN THE LAST 12 MONTHS, WHICHEVER IS LOWER.

6.3 Exceptions

Nothing excludes liability for death, injury, or fraud caused by negligence.

7. Account Termination Policy

7.1 Termination by User

You may terminate use anytime by written notice. Fees due before termination remain payable.

7.2 Termination by Garioxtech

We may terminate access for breach, non-payment, fraud, or legal requirements.

7.3 Effect of Termination

All rights cease upon termination. Outstanding balances remain due. Relevant provisions survive termination.

7.4 Data Retrieval

You may request your data within 30 days post-termination.

8. Governing Law and Jurisdiction

These Terms are governed by Indian law. Exclusive jurisdiction: Courts of New Delhi, India.

9. Dispute Resolution

Disputes first attempted through negotiation. If unresolved in 30 days, arbitration under the Arbitration and Conciliation Act, 1996 in New Delhi.

10. Indemnification

You agree to indemnify and hold harmless Garioxtech and its affiliates from any claims or damages resulting from your use of the Services.

11. Miscellaneous

• Entire Agreement: These Terms and Privacy Policy form the complete agreement.
• Severability: If any clause is invalid, others remain enforceable.
• Waiver: Failure to enforce a right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent.
• Force Majeure: We are not liable for delays caused by events beyond control (e.g., natural disasters, war, etc.).
